ARTICLE I - NAME AND PURPOSE


Section 1 - Name
 
The name of this church organization (congregation of believers) shall be Faith Baptist Church, Incorporated, for all legal matters. In non-legal matters, it shall be know as Faith Baptist Church.


Section 2 - Purpose
 
This congregation is organized as a church exclusively for charitable, religious, and educational purposes within the meaning of Section (c) (3) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States Revenue Law), including, but not limited to, for such purpose, the establishing and maintaining of religious worship; and the building and operating of churches, parsonages, schools, chapels, radio stations, rescue missions, printing ministries, day-care centers, camps, mission boards, nursing homes, orphanages, and thrift stores.

This church shall also ordain and license men to the Gospel ministry, at its discretion; evangelize the unsaved by the proclaiming of the Gospel of the Lord Jesus Christ; educate believers in a manner consistent with the requirements of the Holy Scripture, both in Sunday, weekday, and evening schools of basic and advance Christian education; and maintain and support missionary and evangelistic activities in the United States and any foreign country.


ARTICLE II - STATEMENT OF FAITH AND COVENANT


Section 1 - Statement of Faith

(A) The Scriptures
 
We believe the Holy Scriptures of the Old and New Testaments to be the verbally and plenary inspired Word of God. The Scriptures are inerrant, infallible, and God- breathed, and therefore are the final authority for faith, life, and practice. The sixty- six books of the Old and New Testament are the complete and divine revelation of God to man. These books are: Genesis, Exodus, Leviticus, Numbers, Deuteronomy, Joshua, Judges, Ruth, 1 Samuel, 2 Samuel, 1 Kings, 2 Kings, 1 Chronicles, 2 Chronicles, Ezra, Nehemiah, Ester, Job, Psalms, Proverbs, Ecclesiastes, Songs of Solomon, Isaiah, Jeremiah, Lamentations, Ezekiel, Daniel, Hosea, Joel, Amos, Obadiah, Jonah, Micah, Nahum, Habakkuk, Zephaniah, Haggai, Zechariah, Malachi, St. Matthew, St. Mark, St. Luke, St. John, Acts, Romans, 1 Corinthians, 2 Corinthians, Galatians, Ephesians, Philippians, Colossians, 1 Thessalonians, 2 Thessalonians, 1 Timothy, 2 Timothy, Titus, Philemon, Hebrews, James, 1 Peter, 2 Peter, 1 John, 2 John, 3 John, Jude, Revelation.



(B) The Godhead
 
We believe in one Triune God, eternally existing in three persons- Father, Son, and Holy Spirit- each co-eternal in being, co-identical in nature, co-equal in power and glory, and having the same attributes and perfections (Deut. 6:4; Matt. 28:19; 2 Cor. 13:14; John 14:10, 26).



(C) The Person and Work of Christ
 
We believe that the Lord Jesus Christ, the eternal Son of God, became man, without ceasing to be God, having been conceived of the Holy Ghost and born of the virgin Mary, in order that He might reveal God and redeem sinful men (Isa.7: 14; 9:6; Luke 1:35; John 1:1-2, 14; 2 Cor. 5:19-21; Gal.4: 45; Phil.2: 5-8).

We believe that the Lord Jesus Christ accomplished redemption through the blood He shed during His death on the cross as a representative, vicarious, substitutionary sacrifice; and, that our justification is made sure by His literal, physical resurrection from the dead (Acts 2:18-36; Rom.3: 24; I Peter 2:24; Eph. 1:7; 1 Peter 1:1:3-5).

We believe that the Lord Jesus Christ ascended into heaven and is now exalted at the right hand of God, where, as our High Priest, He fulfills the ministry of Representative, Intercessor, and Advocate (Acts 1:9-10; Heb.9: 24; 7:25; Rom.8: 34; 1 John 2:1-2).



(D) The Person and Work of the Holy Spirit
 
We believe the Holy Spirit is a Person who convicts the world of sin, righteousness, and of judgment; and that He is the Supernatural Agent in regeneration, baptizing all believers into the Body of Christ, indwelling and sealing them unto the day of redemption (John 16:8-11; Rom. 8:9; 1 Cor. 12:12-14; 2 Cor.3: 6; Eph. 1:13-14).

We believe that He is the Divine Teacher who assists believers to understand and appropriate the Scriptures and that it is the privilege and duty of all of the saved to be filled with the Spirit (Eph.1: 17-18; 5:18; 1 John 2:20,27).

We believe that God is sovereign in the bestowal of spiritual gifts to every believer. God uniquely gives evangelists, pastors, and teachers to equip believers in the assembly in order that they can do the work of the ministry (Rom.12: 3-8; 1 cor.12: 4-11; Eph. 4:7-12).

We believe that the sign gifts of the Holy Spirit, such as speaking in tongues and the gift of healing, were temporary, and therefore reject the teachings of the modern charismatic or Pentecostal movement. We believe that speaking in tongues was never the common or necessary sign of the baptism or filling of the Holy Spirit and that ultimate deliverance of the body from sickness or death awaits the consummation of our salvation in the rapture (or gathering out) of the believers, though God frequently chooses to answer the prayers of the believers for physical healing (1 Cor. 1:22; 13:8; 14:2, 11-22).



(E) Total Depravity of Man
 
We believe that man was created in the image and likeness of God, but that in Adam's sin the human race fell, inherited a sinful nature, and became alienated from God; and that man is totally depraved, and, of himself, unable to remedy his lost condition (Gen. 1:26-27; Rom. 3:22-23; 5:12; 6:23; Eph. 2:1-3; 4:17-19).



(F) Salvation
 
We believe that salvation is the free gift of God brought to man by grace and received by personal faith in the Lord Jesus Christ, Whose precious blood was shed on Calvary for the forgiveness of our sins. Since salvation is a free gift, it is of necessity that it is not reckoned or received by works or acts of morality (John 1:12; Eph. 1:7 2:8-10; 1 Pet. 1:18-19).



(G) Eternal Security of the Believer
 
We believe that all the redeemed, once saved, are kept by the power of God and are thus secure in Christ forever (John 6: 37-40; 10:27-30; Rom. 8:1, 38-39; 1 Cor.1: 4-8; I Peter 1:45).

We believe that it is the privilege of believers to rejoice in the assurance of their salvation through the testimony of the Word of God, which, however, clearly forbids the use of Christian liberty as an occasion to the flesh (Rom. 13-14; Gal. 5:13; Titus 2:11-15).



(H) The Local Church
 
We believe that the establishment and continuance of the local church is clearly taught and defined in the New Testament (Acts 14:27; 20:17, 28-32; 1 Tim. 3:1-3; Titus 1:5-11).

We believe in the autonomy of the local church free from any external authority or control (Acts 13:1-4; 15:19-31; 20:28; Rom 16:1, 4; 1 Cor. 3:9, 16; 5:47, 13; 1 Peter 5:1-4).

We believe that water baptism by immersion and communion are the scriptural ordinances for the local church, though neither is required as a necessary step for salvation. We practice open communion of the believers, allowing every person's conscience to dictate their qualification for participation, subject to self-judgment as described in the scriptures (Matt. 28:19-20; Acts 2:41-42; 18:18; 1 Cor. 11:23-26).



(I) Separation
 
We believe that all believers should live in such a manner as not to bring reproach upon themselves, their families, their church, or their Savior. We also believe that separation from all religious apostasy; and all worldly and sinful pleasures, practices, and associations are commanded by God (Rom. 12:1-2; 14:13; 2 Cor. 6:14-7:1; 2 Tim. 3:15; 1 John 2:15-17; 2 John 9-11).



(J) Second Advent of Jesus Christ
 
We believe in the "Blessed hope", the personal, imminent return of Christ, Who will rapture (gather out) His bride (all believers) prior to the seven-year period known as the Tribulation. At the end of the Tribulation, Christ will literally, physically, and visibly return with His saints to Israel, where He will reign for one thousand years. (Ps. 89:3-9; Dan. 2:31-45; Zech. 14:4-11; 1 Thess. 1:10; 4:13-18; Titus 2:1; Rev. 3:10; 19:11-16; 20:1-6).



(K) Heaven
 
We believe in a literal Heaven; a place prepared by God; a place of eternal joy and bliss; a place for all born again, saved persons who have believed on the only begotten Son of God, Jesus Christ. (2 Cor.5: 8; John 14:1-3).



(L) Hell
 
We believe in a literal Hell, with real flames; a place prepared for the final punishment of the Devil and his angels; a place of eternal torment and unrest; a place where the unsaved and unbeliever will have to eternally dwell for not accepting the Lord Jesus Christ as his or her personal Savior. (Luke 16:22-26).



(M) Satan
 
We believe that Satan is a person, the author of sin, and the cause of the fall of man; that he is the open and declared enemy of God and man; and that he shall be eternally punished in the lake of fire (Job 1:6-7; Isa. 14:12-17; Matt. 4:2-11; 25:41; Rev. 20:10).



(N) Creation
 
We believe that God created the universe in six literal twenty-four hour periods. We reject evolution and theism as unscriptural theories of origin (Gen. 1-2; Exod. 20:11).



(O) Civil Government
 
We believe that God has ordained and created all authority consisting of three basic institutions: the home, the church, and civil government. Every person is subject to these authorities, but all (including the authorities themselves) are answerable to God and governed by His Word. God has given each of these institutions specific responsibilities and balanced those responsibilities with the understanding that no institution has the right to infringe upon another. The home, the church, and civil government are equal and sovereign in their respective, biblically-based spheres of responsibility under God (Rom.13:1-7; Eph.5:22-24; Heb.13:17; 1 Peter 2:13-14).



(P) Human Sexuality
 
We believe that God has commanded that no intimate sexual activity be engaged in outside of a marriage between a man and woman. We believe that any form of homosexuality, lesbianism, bisexuality, bestiality, incest, fornication, adultery, and pornography are sinful perversions of God's gift of sex. Any employee of the church becoming pregnant (as a result of consensual intercourse) or causing pregnancy (regardless of the circumstances), outside of the marriage relationship, shall be terminated from employment (Gen. 2:24; 19:5, 13; 26:8-9; Lev. 18:1-30; Rom. 1:26-29; 1 Cor. 5:1; 6:9; 1 Thess. 4:1-8; Heb. 13:4).

We believe that the only legitimate marriage is the joining of one man and one woman (Gen. 2:24; Rom. 7:21; 1 Cor.7:10; Eph. 5:22-23).

We believe that men and women are spiritual equals in position before God, but that God has ordained district and separate spiritual functions for men and women in the home and in the church. The husband is to be the leader in the home, and men are to be the leaders (pastors and deacons) in the local church. Accordingly, only men are eligible for licensure and ordination by the church (Gal. 3:28; 1 Tim. 2:8-15; 3:4-5,12).



(Q) Divorce and Remarriage
 
We believe that God hates divorce and intends marriage to last until one of the spouses dies. Divorce and remarriage is regarded as adultery except on the grounds of fornication. Although divorce and remarried persons or divorced persons may hold positions of service in the church and be greatly used of God for Christian service, they may not be considered for the offices of pastor or deacon (Mal. 2:14-17; Matt. 19:3-12; Rom.7:1-3,12; Titus 1:6).



(R) Abortion
 
We believe that children are a gift of God (Psalm 127:33- Lo, children are an heritage of the LORD: and the fruit of the womb is his reward.), and that from the moment of conception, the fetus is a living soul (Jeremiah 1:5- Before I formed thee in the belly I knew thee; and before thou camest forth out of womb I sanctified thee, and I ordained thee a prophet unto the nations.), and that God has a plan for each child he allows to be conceived. We believe that to abort the fetus is to take the life of an innocent child and is in direct violation of a commandment of God (Exodus 20:13).



(S) Stewardship
 
We believe that God is the source of all blessings, temporal and spiritual; all that we have and are, we owe to Him. (Leviticus 27:30- And all the tithe of the land, whether of the seed of the land, or of the fruit or the tree, is the LORD'S: it is holy unto the LORD.) We have a spiritual debtorship to the whole world, a holy trusteeship in the Gospel, and a binding stewardship in our possessions. We are therefore under obligation to serve Him with our time, talents, and material possessions, and should recognize all these as entrusted to us to use for the glory of God and helping others as the Lord may direct.



(T) Missions
 
We believe that God has given the church a great commission to proclaim the Gospel to all nations so that there might be a great multitude from every nation, tribe, ethnic group, and language group who believe on the Lord Jesus Christ. As ambassador of Christ we must use all available means to go to the foreign nations and not wait for them to come to us (Matt. 28: 19-20; Mark 16:15; Luke 24: 46-48; John 20:21; Acts 1:8; 2 Cor. 5:20).


Section 2 - Church Covenant
 
Having been led, as we believe, by the Spirit of God to receive the Lord Jesus Christ as our Savior and on the profession of our faith, having been baptized in the name of the Father, and the Son, and of the Holy Ghost, we do now in the presence of God, angels, and this assembly, most joyfully enter into covenant with one another, as one body in Christ.

We engage therefore, by the aid of the Holy Spirit, to walk together in Christian love; to strive for the advancement of this Church, in knowledge, holiness, and comfort; to promote its prosperity and spirituality; to sustain its worship, ordinances, discipline, and doctrines; to give it a sacred pre-eminence over all institutions of human origin; and to contribute cheerfully and regularly to the support of the ministry, the expenses of the church, the relief of the poor, and the spread of the Gospel through all nations.

We also engage to maintain family and secret devotions; to religiously educate our children; to seek the salvation of our kindred and acquaintances; to walk circumspectly in the world; to be just in our dealing, faithful in our engagements, and exemplary in our deportment; to avoid all tattling, backbiting, and excessive anger; to abstain from the sale and use of intoxicating drinks as a beverage; and to be zealous in our efforts to advance the Gospel of our Savior.

We further engage to watch over one another in brotherly love; to remember each other in prayer; to aid each other in sickness and distress; to cultivate Christian sympathy in feeling and courtesy in speech; to be slow to take offense, but always ready for reconciliation; and to be mindful of the rule of our Savior to secure it without delay.

We, moreover, engage that when we remove from this place, we will as soon as possible, unite with another church of like faith and practice, where we can carry out the spirit of this covenant and the principles of God's word


Section 3 - Authority For Statement of Faith And Covenant
 
The Bible, itself, is the sole and final source of all that we believe. We believe that the foregoing Statement of Faith and Covenant accurately represents the teachings of the Bible, and therefore, is binding upon all members. All instructional literature used in the church shall be in complete agreement with the Statement of Faith.

This church is an independent body of baptized believers. The government of this church is to be vested in its assembled membership, through its duly elected officers. It shall never be subject to the control of any other ecclesiastical body, and no denominational or associational representative shall ever sit in judgment over its affairs.

This church may fellowship and cooperate with other churches for the furtherance of the Gospel and for edification of the members when such shall be wholly in accordance with the Scriptures, but no rules, regulations, or commitments shall be made to such bodies which call for more than voluntary action on the part of this church. Any such fellowship or cooperation may be broken at any time by a majority of those present and voting at any regularly scheduled or specially called meeting.



ARTICLE I - FORM OF GOVERNMENT


 
This church shall operate under a congregation form of government, which shall have a Board of Directors made up of the Corporate Officers of the Church. Said Board of Directors, with the exception of the Pastor (as President), has no authority, whether expressed, implied, inherent, or apparent, other than that conferred upon them in Article II, Section 1 of this document.


ARTICLE II - OFFICERS/ STAFF/ VOLUNTEERS


Section 1 - Corporate Officers/ Board of Directors
 
These Officers shall serve as an accommodation to legal relationships outside the church.

A. President

The office of President of the corporation shall automatically be filled by the Pastor of the church, who shall be selected, tenured, and dismissed according to the provisions set forth in Section 2 of this Article.

B. Vice President

The office of Vice President of the Corporations shall be filled by an individual selected, tenured, and dismissed according to the provisions set forth in Section 2 of this Article.

C. Secretary

The office of Secretary of the Corporation shall be filled by an individual selected, tenured, and dismissed according to the provisions set forth in Section 2 of this Article.

D. Treasurer

The office of Treasurer of the Corporation shall be filled by an individual selected, tenured, and dismissed according to the provisions set forth in Section 2 of this Article.

The Board of Directors is empowered to appoint or assign any qualified person(s) to assist them in their advisory capacity as deemed necessary by the Pastor. Should the church desire insurance for personal bond of the Corporate Officers/ Directors, the premium for such insurance would be borne by the church.


Section 2 - Church Officers

A. Pastor
 
1. Qualifications

a. 1 Timothy 3:1-7 and Titus 1:6-9 give the qualifications of a Pastor. The life of the Pastor and his family should be an example of Godliness and spirituality. They should not indulge in worldly or sinful practices that would tend to weaken the testimony of the Church (1 Thess.5:22). No one who partakes of intoxicating liquors, illegal drugs, or tobacco in any form or who brings disrepute upon his ministry through sinful language, practice, or association with questionable organizations and associations (Secret or otherwise) shall be considered for Pastor, or having fallen into such, shall be retained as Pastor, if they persist in such a course (Romans 12:1-2; 6:11-18).

b. Any man considered for the office of Pastor of this Church must have had a previous testimony and reputation of being an outstanding personal soul winner.

c. No man shall serve as pastor who maintains connections with ecumenical para-church groups such as the National Council of Churches, the World Council of Churches, or the Promise Keepers.

d. No man shall be considered for the office of pastor or be retained in such office who does not by belief, statement, and practice hold to the absolute authority and verbal inspiration of the Bible.

2. Selection

Upon a vacancy in the office of Pastor, a Pulpit Committee shall be convened as soon as reasonably possible, which shall consist of all the remaining members of the Deacons and the Board of Directors. A Chairman shall be selected by majority vote of the membership of the Pulpit Committee.

The Pastoral Selection Committee shall be charged with determining by prayerful consideration and necessary examination of prospective pastoral candidates as to whether or not they meet the qualifications as set forth in Article II, section 2 of this document. More than one prospective candidate can be examined by the committee prior to presentation to the Church, but only one candidate at a time shall be brought to the Church for potential selection as Pastor.

If a prospective candidate has served in other churches, his ministry there shall be investigated. He shall be required to state his acceptance of an adherence to the Statement of Faith, Constitution, and Covenant of Faith Baptist Church. Any differences he holds concerning these documents shall be submitted to the Pastoral Selection Committee in writing. He shall also state, in writing, any differences that he holds relating to groups and associations with which Faith Baptist Church may be in fellowship.

Upon a successful determination of the qualifications of the pastoral candidate, the Chairman of the Pastoral Selection Committee shall be charged with inviting the candidate to fill the pulpit for a period of time determined by the majority of the Pastoral Selection Committee.

If it is determined that it is the desire of the Church to extend a call to a pastoral candidate, a vote for extending the call shall be taken in a Special Business Meeting called for this express purpose and announced from the pulpit for two (2) consecutive Sunday preceding the date of the Special Business Meeting.

3. Tenure

The relationship of the pastor and the church shall be permanent unless dissolved at the option of either party by the giving of a month's notice. If it is the will of the Pastor to vacate the office, there shall be no severance pay required. In the case of church desire for the pastor to terminate the office (except in the case of church discipline being practiced against the pastor), there shall be given to the pastor a minimum of one (1) month's salary and any proportionate amount of other compensation.

Upon a vacancy in the Office of Pastor, an Interim Pastor will be selected sequentially as follows:

A. Associate Pastor (or if there is a vacancy in that office)

B. Deacons and remaining members of the Board of Directors, who shall, by majority vote, choose one of their members as the interim replacement during the pastoral selection process (see Section 2 (A) 2 of this Article).

The office of Interim Pastor confers no authority to enact any changes to the Constitution and By-Laws of this organization; to create, charge, or enforce policies or procedures; to remove any staff members; or to select any new staff members, paid or unpaid, without the consent of the congregation by a majority vote.

4. Duties

a. It is recognized by the Pastor that it is his duty to maintain strict confidentiality in all matters of church business and counseling.

b. The pastor shall preach the Gospel regularly and shall be at liberty to preach the whole counsel of God as the Lord leads him. The Pastor shall be in full control of the Pulpit and shall be responsible for supplying speakers. He shall administer the ordinances of the church, act as moderator of all meetings for the transaction of church matters, supervise the teaching ministries of the church, and tenderly watch over the spiritual interests of the membership. He shall be afforded all scriptural support and authority given to him by the Word of God in 1 Cor. 9:7-14; 1 Thess. 5:12-13; I Timothy 5:17; and Hebrews 13:7,17.

c. All appointments for public worship and Bible study and the arrangements thereof, including time and place, and the use of the property belonging to the church for purposes other than the stated appointments shall be under the control of the pastor or his designee.

d. The Pastor shall be able to establish and enforce routine policies and procedures as required from time to time which may be in addition to, but not in conflict with, these bylaws. These policies and procedures shall be administrative in nature and shall be established and enforced in order for the Pastor to fulfill his God-given responsibilities to the ministry God has given him.

e. Subject to the approval of the membership and on the condition that they shall become a member of the church upon assuming their duties, the pastor may hire associates and assistants to him in carrying out his God-given responsibilities.

f. All church staff, whether paid or volunteer, shall be under the supervision of the pastor, who has the sole authority to hire, appoint, or dismiss the same.

g. The Pastor shall be the moderator at all Business Meetings of the Church. The Pastor reserves the right to appoint the Chairman of the Board of Compensation, any other officer of the church, or any qualified male member of the congregation to moderate at any Business Meeting, Regular or Special, if he so chooses.

h. The Pastor shall be an ex-officio member of all committees.

5. Dismissal

Except in the case of church discipline being practiced against the pastor, a majority vote of two-thirds of the present, voting members shall be required to remove the pastor from his office. A vote to server the relationship at the church's request shall require a minimum of a two (2) Sunday notice before a meeting for such matters can be held.

A disciplinary removal of the pastor from his office shall automatically terminate his membership in the church. Restoration to membership in such cases shall be accomplished through the procedures set forth in Article III Section 1.



B. Associate Pastor
 
1. Qualifications

a. 1 Timothy 3:1-7 and Titus 1:6-9 give qualifications of a Pastor. The life of the Associate Pastor and his family should be an example of Godliness and spirituality. They should not indulge in worldly or sinful practices which would tend to weaken the testimony of the Church (1 Thess. 5:22). No one who partakes of intoxicating liquors, illegal drugs, or tobacco in any form or who brings disrepute upon his ministry through sinful language, practice, or association with questionable organizations and associations (secret or otherwise) shall be considered for Associate Pastor, or having fallen into such, shall be retained as Associate Pastor if they persist in such a course (Romans 12: 1-2; 6:11-18).

b. Any man considered for the office of Associate Pastor of this Church must have had a previous testimony and reputation of being an outstanding personal soul winner.

c. In the event of a vacancy in the position of Senior Pastor, the Associate Pastor will become Interim Pastor. The Associate Pastor, while serving as Interim Pastor, would retain all the rights and privileges of his office and would continue in the duties assigned to him by the Senior Pastor prior to his termination. While serving as Interim Pastor, in addition to his own stated duties, he shall also assume only those duties of the Pastor as set forth in Section 2 (a) (4) (b) of this Article. If it is the will of the Board of Directors and of the congregation, those stated duties, rights and privileges can be amended by a majority vote of members present and voting. It is the duty of the Associate Pastor to serve on the Pulpit Committee and to seek the will of the congregation in the selection of himself or another man as Pastor.



C. Youth Pastor
 
1. Qualifications

a. 1 Timothy 3:1-7 and Titus 1:6-9 give qualifications of a Pastor. The life of the Youth Pastor and his family should be an example of Godliness and spirituality. They should not indulge in worldly or sinful practices which would tend to weaken the testimony of the Church (1 Thess. 5:22). No one who partakes of intoxicating liquors, illegal drugs, or tobacco in any form or who brings disrepute upon his ministry through sinful language, practice, or association with questionable organizations and associations (secret or otherwise) shall be considered for Youth Pastor, or having fallen into such, shall be retained as Youth Pastor if they persist in such a course (Romans 12:1-2; 6:11-18).

b. Any man considered for the office of Youth Pastor of this Church must have had a previous testimony and reputation of being an outstanding personal soul winner.

c. No man shall serve as Youth Pastor who maintains connection with ecumenical para-church groups such as the National Council of Churches, the World Council of Churches, or the Promise Keepers.

d. No man shall be considered for the office of Youth Pastor or be retained in such office who does not by belief, statement, and practice hold to the absolute authority and verbal inspiration of the Bible.

2. Selection

The Youth Pastor shall be selected by the Pastor after prayerful consideration is given to qualifications and after consultation with the Deacons and Board of Directors. Upon reaching a favorable decision, the proposed candidate shall be presented to the congregation for ratification by a majority of members present and voting, as set forth in Article IV, section 4 of this document.

3. Tenure

a. The relationship of the Youth Pastor and the church shall be permanent unless dissolved at the option of either party by the giving of a month's notice. If it is the will of the Youth Pastor to vacate his office, there shall be no severance pay required. If it is the will of the congregation or the Pastor to terminate the Youth Pastor (except in the case of church discipline being practiced against the Youth Pastor), there shall be given to the Youth Pastor a minimum of two (2) week's salary and any proportionate amount of other compensation.

b. The Youth Pastor may be removed from office by the Senior Pastor at any time after prayerful consideration and consultation with the Deacons and Board of Directors.

4. Duties

a. The duties of the Youth Pastor shall be determined and supervised by the Senior Pastor as he deems necessary and proper.

b. It is the duty of the Youth Pastor to maintain strict confidentiality in all business and personal matters that may be present to his office.



D. Deacons
 
1. Qualifications

a. Only male members of the Church shall be considered for the office of Deacon He must have been a member in good standing for a period of no less than one (1) year.

b. 1 Timothy 3:8-13 gives qualifications of Deacon. The life of the Deacon and his family should be an example of Godliness and spirituality. They should not indulge in worldly or sinful practices which would tend to weaken the testimony of the Church (1 Thess. 5:22). No one who partakes of intoxicating liquors, illegal drugs, or tobacco in any form or who brings disrepute upon his ministry through sinful language, practice, or association with questionable organizations and associations (secret or otherwise) shall be considered for Deacon, or having fallen into such, shall be retained as Deacon if they persist in such a course (Romans 12:1-2; 6:11-18).

2. Selection

Deacons shall be selected through nomination by secret ballot, qualified by Pastor interview, and ratified by majority vote in a secret ballot election.

3. Tenure

The term of office of the Deacon shall be permanent, subject to the following provisions:

1. Voluntary withdrawal from office by the Deacon, or

2. Removal from office by the Pastor at his discretion due to the inability of the Deacon to remain qualified for the office as outlined in Section (1) (b) above.

4. Duties

a. The primary duty of the Deacon is Pastoral assistance as directed by the Pastor in the spiritual mission of the Church and is in no way to be construed as a position of authority over the matters of the Church. The Deacon(s) shall assist the Pastor, in such manners and in such matters as the Pastor may request, in promoting the general spiritual welfare of the Church, in conducting religious services, and in performing all other work of the Church. The Deacon(s) will be charged with procuring items and preparing for the observance of the ordinances of the church. The Deacon(s) shall assist the Pastor in the evangelistic and outreach efforts of the Church. The Deacon(s) shall in no way attempt to undermine nor usurp the authority of the Pastor or attempt to rule or administrate the affairs of the Church as if in the position of the Pastor.

b. It is the duty of the Deacon to practice strict confidentiality in all matters of a personal or business nature that may come to his attention in the performance of the duties of his office. In the event that a Deacon is approached and counseling is requested, the Deacon will refer that person to the Pastoral staff.

c. The Deacon(s) shall automatically serve on the Pulpit Committee in the event of a vacancy in the office of Pastor.



E. Trustee
 
The Church shall have Trustees who shall be responsible for attending to the physical aspects of the Church under the guidance of the pastor.

1. Qualifications

a. Only male members of the Church shall be eligible for the position of Trustee and they must have been a member in good standing for a period of no less than one (1) year prior to his election

b. Trustees must be sympathetic to all the views of the Church and a faithful supporter of the Church in prayers, finances, and attendance.

2. Selection

Selection of Trustees shall be through nomination by secret ballot, review and qualification by the Pastor, and election by a majority of the present and voting membership by secret ballot.

3. Tenure

a. The term of office of the Trustee shall be two (2) years, subject to the following provisions:

1. Voluntary withdrawal from office by the Trustee, or

2. Removal from office by the Pastor at his discretion due to the inability of the Trustee to remain qualified for the office as outlined in this Section (1) (b) above.

b. Installation of Trustees shall be performed during the Annual Business Meeting in January of odd-numbered years.

c. A Trustee need not automatically be replaced but can be re-nominated after his two-year tenure according to Section 2 above.

4. Duties

a. Collectively or individually, the Trustees or their designees shall oversee the maintenance of the physical properties of the Church as directed by the Pastor.

b. The Trustees collectively shall automatically serve on the Pulpit Committee should a vacancy occur in the office of Pastor.



F. Corporate Vice-president
 
1. Qualifications

Individual selected for this position shall be a male member of the Church who has been a member in good standing for a minimum of one (1) year.

2. Selection

Individual shall be nominate by and selected from the congregation by secret ballot, review by the Pastor, and ratified by a majority of the present voting membership by secret ballot.

3. Tenure

The term of office for the Corporate Vice-President shall be permanent, subject to the following provisions:

1. Voluntary withdrawal from office by the Corporate Vice-President, or

2. Removal from Office by the Pastor at his discretion due to the inability of the Corporate Vice-President to remain qualified for the office as outline in Section 1 above.

4. Duties

Corporate Vice-President shall serve on the Board of Compensation and shall assist with the Pastoral selection process, as the need arises.



G. Corporate Secretary
 
1. Qualifications

Individual selected for this position shall be a male member of the church who has been a member in good standing for a minimum of one (1) year.

2. Selection

Individual shall be nominated by and selected from the congregation by secret ballot, review by the Pastor, and ratified by a majority of the present voting membership by secret ballot.

3. Tenure

The term of office for the Corporate Secretary shall be permanent, subject to the following provisions:

1. Voluntary withdrawal from office by the Corporate Secretary, or

2. Removal from office by the Pastor at his discretion due to the inability of the Corporate Secretary to remain qualified for the office as outline in Section 1 above.

4. Duties

Corporate Secretary shall serve on the Board of Compensation and shall assist with the Pastoral selection process, as the need arises. Corporate Secretary shall also be charged with the signing of legal documents on behalf of the Corporation, as the need arises.



H. Corporate Treasurer
 
1. Qualifications

Individual selected for this position shall be a male member of the church who has been a member in good standing for a minimum of one (1) year.

2. Selection

Individual shall be nominate by and selected from the congregation by secret ballot, review by the Pastor, and ratified by a majority of the present voting membership by secret ballot.

3. Tenure

The term of office for the Corporate Treasurer shall be permanent, subject to the following provisions:

1. Voluntary withdrawal from office by the Treasurer, or

2. Removal from office by the Pastor at his discretion due to the inability of the Treasure to remain qualified for the office as outline in Section 1 above.

4. Duties

Corporate Treasurer shall serve on the Board of Compensation and shall assist with the Pastoral selection process, as the need arises. He shall also be charged with the responsibility of holding the position of Head Counter and shall oversee the implementation of the financial policies of the Church. He shall be further qualified as bondable under the laws of the State of Florida.


Section 3 - Staff/Paid or Volunteer
 
All staff positions other than those listed in Section 2 of this Article shall be selected, tenure, and dismissed according to the Employment Policy of the Church. All paid staff must be a member of the Church in good standing, qualified by training or experience and bondable. All staff members shall practice a policy of strict confidentiality in all personal and financial matters that may come to their attention in the performance of assigned duties. All staff, whether volunteer or paid, shall be under the direct authority of the Pastor or his designee. The Financial Secretary shall cooperate with the Church Treasurer in the implementation of the Church Financial Policy.


ARTICLE III - MEMBERSHIP


Section 1 - Reception of Members
 
This Church shall be composed of members who profess to be saved by grace, through faith, and who have been baptized, when possible, following their confession of faith in Christ, by immersion in water in the name of the Father, the Son, and the Holy Ghost. All members shall voluntary adhere to the Statement of Faith as contained in this Document.

All prospective members shall meet with the Pastor and/or his designee prior to presentation to the Church. The Statement of Faith will be discussed, as well as the individual's personal testimony of their faith in the finished work of Christ. Upon satisfactory completion of all requirements as deemed necessary by the Pastor, the candidate for membership shall be admitted into the Church membership roll in one of the following three ways:

A. As a new believer in Jesus Christ as his/her personal Savior, by water baptism (by immersion), when possible, by the Pastor or his designee; or

B. By testimony of personal faith, having been Scripturally baptized, when possible, after a profession of faith, but not wishing to come as a previous member of another church of like faith and practice; or

C. By letter of transfer from another Bible-believing church of like faith and practice or other written statement of good standing from the prior church if the applicant has been baptized by immersion, when possible, subsequent to a profession of faith.


Section 2 - Duties of Members
 
All members are expected:

1. To be in total agreement with the Church Covenant and Statement of Faith as contained in this Document.

2. To further covenant to love one another with a spirit of harmony and brotherly love.

3. To love, honor, and esteem the Pastor; to pray for him; and to recognize his authority in the spiritual affairs of the church.

4. To support the Church in prayer, attendance, offering, and with other financial support as the Lord enables.


Section 3 - Termination of Membership
 
Membership in this Church shall be terminated in the following ways:

1. Upon written request of the member for whatever reason, although a letter or statement of transfer will be issued at the Pastor's discretion; or

2. Upon member's death; or

3. Upon request of a letter or statement of transfer of membership from another church, although a letter or statement of transfer will be issued at the Pastor's discretion; or

4. Upon a failure to attend regularly scheduled services for a successive period of six (6) months. This termination will be without notice. It will be assumed at that time that termination of membership is voluntarily desired. The exception to this will be a determination by the Pastor as to extenuating circumstances on an individual basis upon consultation between the member and the Pastor.

Membership may be restored to a former member of this Church by one of the following two methods:

A. If membership has been severed due to simple non-attendance (see Section 3, subsection 4 of this Article), a reinstatement of membership shall be granted upon satisfactory interview with the Pastor or his designee; or

B. If membership has been severed due to an immoral or illegal act, a reinstatement of membership shall be granted upon satisfactory interview with the pastor or his designee. Then following said interview, a simple majority vote of the congregation will be required, after confession is made publicly of the sin and/or sins involved with appropriate evidence of repentance.

No restored member (regardless of method of reinstatement described above) shall hold an office in the Church for a period of six (6) months after restoration.


Section 4 - Discipline of Membership
 
A. A Church Discipline Committee shall be established periodically to conduct the business of church discipline and shall consist of the Board of Directors, the current Trustees, and one or two members at-large chosen by the Church Discipline Committee from the membership who have no vested interest in the alleged charges (the number of at-large members will be determined so as to make an odd number of committee members). If the charges are brought against a member of the committee shall be entitled to the same steps afforded to the regular membership of the Church.

B. Church discipline shall be imposed for unscriptural conduct or radical departure from the tenets of faith held by the Church, and the same shall be considered sufficient grounds for such discipline.

C. Discipline of a member shall be conducted in accordance with the provisions found in Matthew 18:15-17; Galatians 6:1; 1 Timothy 5:20; Titus 3:9-11; 2 Thessalonians 3:6, 14; and 1 Corinthians 5:1-7. The said provisions are more thoroughly set forth as follows:

1. Go alone and present your evidence to the person whose sin you have personally been made aware of.

2. If the refuses to hear you, go to him again with two or three witnesses.

3. If he still refuses to hear you and the witnesses, take the matter before the whole church.

4. If he refuses to hear the whole church, he is to be removed from the fellowship of the church.


Section 5 - Litigation
 
A. It is the church's policy to hold that personal matters of dispute between individual members and personal matters between members and the Church are within the scope of the internal affairs of the Church, and, as such, should not be brought into a court of secular law. This is to be held as both a scriptural principle (1 cor.6) and a matter of personal and collective testimony of the Church in the community. All matters that fall under this heading shall be subject to binding arbitration within the framework of the internal affairs of the church as per Article VIII, section 1 of this Document.

B. It is also the Church's policy to hold that civil and criminal matters that are not judged to be of a personal nature but constitute such matters as contractual disputes, property damage, theft, and the like, shall. At the Church's discretion, be prosecuted to the fullest extent of the law in order to protect the Church's interest under the law.


ARTICLE IV - MEETINGS


Section 1 - Fiscal Year
 
The fiscal year of the church shall be the calendar year.


Section 2 - Quorum
 
A quorum of fifty-one (51%) of the voting-age membership of the current membership roll of the Church shall be require to conduct business such as real estate transactions and other transaction that involve protracted debt. All other business, except for the selection of Pastor, shall not required a quorum, but the motions at those meeting shall be considered passed upon a simple majority vote of those voting age members present at the meeting. Refer to Article II, Section 2 (A) 2 for quorum required for selection of Pastor.


Section 3 - Voting Age
 
The legal voting age for the membership of the church to be able to participate in business meetings for all business except the approval or disapproval of motions involving real estate transactions, protracted debt, and selection of Pastor shall be sixteen (16) years of age. Real estate transactions, protracted debt, and selection of Pastor shall require a voting age of eighteen (18) years of age.


Section 4 - Business Meetings
 
A. Annual Business Meeting

An annual business meeting for the election and installation of new officers, etc., shall be conducted after the evening service on the third Sunday of January of each year. At such time that church budget are developed, approved, and operated under, they shall also be updated and approved at this annual meeting.

B. Special Business Meeting

Special meetings for business unrelated to the above-mentioned topics shall be called by the Pastor at any regularly schedule service of the church or by a member of the church with the Pastor's permission.

C. Board of Compensation

The Board of Compensation shall meet quarterly (the first week of March, June, September, and December) with all of the following year's Housing Allowances being in place prior to December 31 of the current calendar year. The Board shall consist of the Pastor, the Trustees, and three (3) members of the congregation chosen at-large by the Pastor and ratified by the membership. The terms of service of the at-large members shall be two years with appointment being made at the Annual Business Meeting. In the event of a vacancy in the seat of an at-large member, the Pastor shall appoint a member of the congregation, ratified by the membership, to complete the successor's term. The Board shall be advisory in nature and shall collect and analyze all necessary information regarding the compensation of all staff and employees. The Board shall then present any needs or changes dictated by law to the congregation for ratification.


Section 5- Secret Business Meeting
 
No secret or unauthorized business meetings will be deemed valid nor will the Church be under the authority of the results or decisions of such meetings.


Section 6 - Meetings for Worship and Bible Study
 
Unless otherwise determined by the Pastor, the Church shall meet each Sunday for public worship, both morning and evening, and at least once during the week for Bible study and prayer. Sunday School or other designated discipleship training shall be held at such time and place as deemed necessary by the Pastor. Mid-week youth ministries and other youth ministry functions shall be held as deemed necessary by the Youth Pastor, with the permission of the Pastor. The ordinances of Baptism and the Lord's Supper shall be administered at the Pastor's discretion and direction.


Section 7 - Fellowship Meetings of Church Groups
 
All fellowship or social meetings of groups such as educational classes or departments or youth ministries shall be held periodically at the discretion of the various department leaders, with the permission of the Pastor. No secret or social meeting shall be held with the intent of undermining the authority of the Pastor or the ministry of the Church as whole.


Section 8 - Church Administration Meetings
 
A. The Pastor has the authority to call a meeting of the Staff, both volunteer or paid, at any time he deems such a meeting necessary for the well being of the Church.

B. The Board of Compensation, Christian Education Director, and Teachers will be construed as Administrative personnel. The Pastor can call all or any part of these for a meeting at his discretion.

C. Paid or Volunteer personnel of any other ministry of Faith Baptist Church can be called for an Administration Meeting at the discretion of the Pastor.


Section 9 - Special Meetings
 
Bible conferences, revivals, retreats, missions conferences, and other such meetings and conferences shall be held at the discretion of the pastor as he deems it beneficial to the overall ministry of the church.


ARTICLE V - TAX EXEMPT PROVISIONS


Section 1 - Private Inurement
 
No part of the net earnings of the church shall inure to the benefit of, or be distributable to, its members, trustees, officers, or other private persona, except that the Church shall be authorized and empowered to pay reasonable compensation for the service rendered and to make payments and distributions in the furtherance of the purpose set forth in the Constitution of the Church.


Section 2 - Political Involvement
 
No substantial part of the activities of the church shall be the carrying on of propaganda or otherwise attempting to influence legislation. The church shall not participate in, or intervene in (including the publication and distribution of partisan statements) any political campaign on behalf of any individual candidate for public office.


Section 3 - Racial Nondiscrimination
 
The church shall have a racially nondiscriminatory policy and therefore shall not, discriminate against members, applicants, students, and others on the basis of race, color, or national or ethnic origin.


Section 4 - Limitation of Activities
 
Notwithstanding any other provisions of these Bylaws, the church shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the purpose stated in the Constitution of the Church.


ARTICLE VI - CONTRIBUTIONS AND GIFTS


Section 1 - Contributions
 
From time to time, the Church, in the exercise of its religious, charitable, and educational purpose, may establish various funds to accomplish specific goals. Contributors may suggest uses for their contribution, but all suggestions shall be deemed advisory rather than mandatory in nature. All contributions made to specific funds or otherwise designated shall remain subject to the exclusive control and discretion of the Church, as amended from time to time. No fiduciary obligation shall be created by any designated contribution made to the Church other than to use the contribution for the general furtherance of any of the purpose stated in Article II hereof. All designations shall be non-binding suggestions.

All charitable gifts, contributions, and offerings, whether undesignated or designated, shall belong solely to the Church to be used in the furtherance of its purpose, and shall no longer remain the property of the giver. The giver acknowledges that they shall have no right as to its final use (except that it shall be used in accordance with the purposes set forth in the Constitution of the Church) and shall forever forfeit any future claim to the gift, contribution, or offering. Upon acceptance by the Church of any gift, ownership will be automatically transferred to the Church.

An accounting of all charitable gifts, contributions, and offerings shall be rendered on or before January 31 of the year following the tax year in which they were received or as required by current tax laws and according to the accounting policies and procedures as established by the Church.


Section 2 - Quid Pro Quo Gifts
 
Any gift, contribution, or offering for which an item, items, or other goods are received will not be considered charitable, and therefore are not tax-exempt (except for the portion of the gift, contribution, or offering which is over and above the actual cost of the item, items, or other goods).


Section 3 - Contributions for Ministries Other than This Church
 
Any gift, contribution, or offering given to the Church to be used outside the established ministries of the Church (including, but not limited to, the established missions outreach of the Church as designated from time to time) may, at the discretion of the Pastor, be given to the designated recipient; however, since the gift is no longer considered to be charitable (according to tax laws), a receipt of charitable contribution for such gifts will not be issued by the Church.


ARTICLE VII - INDEMNIFICATION


Section 1 - Actions Subject to Indemnification
 
The Church may indemnify any person who was or is a party or is threatened to be made a party to any threatened, pending, or completed action, suit, or proceeding, whether civil, criminal, administrative, or investigative, including all appeals (other than an action by or in the right of the church) by reason of the fact that the person is or was a pastor, deacon, officer, employee, or agent of the Church, against expenses, including attorney's fees, judgments, fines, and amounts paid in settlement actually and reasonably incurred by him in connection with the action, suit, or proceeding; and if that person acted in good faith and in a manner he reasonably believed to be in or not opposed to the best interests of the church and, with respect to any criminal action or proceeding, had no reasonable cause to believe his conduct was unlawful.


Section 2 - Expenses Subject to Indemnification
 
To the extent that a pastor, deacon, officer, employee, or agent has been successful on the merits or otherwise in defense of any action, suit, or proceeding referred to in this Article, or in any defense of any claim, issue, or matter in that action, suit, or proceeding, he or she may be indemnified against expenses, including attorney's fees, actually and reasonably incurred by him or her in connection with the action, suit, or proceeding.


Section 3 - Limitations of Indemnification
 
Any indemnification made under this Article may be made by the Church only as authorized in the specific case on a determination that indemnification of the pastor, deacon, officer, employee, or agent is proper in the circumstances because he has met the applicable standard of conduct set forth in Section 1 of this article. The determination shall be made (a) by a majority vote of a quorum consisting of the Pastor and Trustees (and Deacons, if applicable) who were not and are not parties to, or threatened with, the action, suit or proceeding; (b) if the described quorum is not obtainable, or if a majority vote of a quorum of disinterested parties so directs, by independent legal counsel in a written opinion; or (c) by a majority vote of the members of the Church.


Section 4 - Timing of Indemnification
 
Expenses of each person seeking indemnification under this Article may be paid by the Church as they are incurred, in advance of the final disposition of the action, suit, or proceeding, as authorized by the Trustees in the specific case, on receipt of an undertaking by or on behalf of the pastor, deacon, officer, employee, or agent to repay the amount if it is ultimately determined that he or she is not qualified to be indemnified by the Church.


Section 5 - Extent of Indemnification
 
The indemnification provided by this Article shall be deemed to be discretionary unless otherwise required as a matter of law or under any agreement or provided by insurance purchased by the Church, both as to action of each person seeking indemnification under this Article in his official capacity and as to action in another capacity while holding that office, and may continue as to a person who has ceased to be a pastor, deacon, officer, employee, or agent and may inure to the benefit of the heirs, executors, and administrators of that person.


Section 6 - Insurance
 
The church may purchase and maintain insurance on behalf of any person who is or was a pastor, deacon, officer, employee, or agent of the Church against any liability asserted against him in that capacity, or arising out of his status in that capacity, whether or not the Church would have the power to indemnify him against liability under the provision of this Article.


ARTICLE VIII - ARBITRATION


Section 1 - Submission to Arbitration
 
In the event of any dispute, claim, question, or disagreement arising out of or relating to these Bylaws or any other church matter the parties shall use their best efforts to settle such disputes, claims, questions, or disagreements as befits Christians. To this end, the parties shall negotiate and consult with each other in good faith, and, recognizing their mutual interests so as not to disgrace the name of the Lord Jesus Christ, seek to reach a just and equitable solution. If the parties do not reach such a solution within sixty (60) days, then upon notice by either party to the other, the matter shall be finally settled by binding arbitration as described below.

In the event that a personal matter is brought out between two parties in the church or between an individual and the church. A committee of arbitrators shall be selected to review and judge the matter according to Biblical principles and the same general principles relative to Litigation and set forth in Article VII, Section 1 of this document. The arbitration committee shall, consist of the Pastor, the Trustees, and a male member at large of the Church, who has no vested interest in the outcome of the arbitration except to see the peaceful and Christian result of the process. In the event that a member of the arbitration committee is a party to the personal dispute, another male member of the congregation shall be selected at large. The involved member shall excuse himself from the arbitration proceeding except as applicable to testimony, etc.; but he shall not sit in judgment on the matter at hand.

All matters brought to the arbitration committee shall be binding, and all members who may become involved in the arbitration process agree, as a responsibility of their membership. To willingly submit to the findings of said committee. All members do hereby expressly waive any and all rights under the law to bringing any civil disagreement of a personal nature before a court of law.


Section 2 - Limitation on Arbitration Decisions
 
A. Should any dispute involve matters of church discipline, the judgment of the arbitrators shall be limited to determining whether the procedures for church discipline as outline in these Bylaws were followed.

B. Should any dispute involve the removal from office of the Pastor or any other church office, the judgment of the arbitrators shall be limited to determining whether the procedures for such removal as outlined in these Bylaws were followed.


ARTICLE IX - ORDINATION


Section 1 - Qualifications
 
A. Minister of the Gospel Any male member of this church or its mission churches who gives evidence of a genuine call of God into the preaching or pastoral work of the ministry and who possesses the qualifications of 1 Timothy 3:1-7 and Titus 1:6-9 may be ordained as a minister of the gospel.

B. Other Offices Any male member of this church or its mission churches who gives evidence of a genuine call of God into a specific work of the ministry (not including the preaching or pastoral ministry), including, but not limited to, deacon, music, education, etc., and who possesses qualifications for the ministry and a desire to serve in such capacity may be ordained as a minister of the gospel in the specific office.


Section 2 - Ordination Procedure
 
Upon a conference with the Pastor, a candidate for ordination shall be examined by the Pastor as to his qualifications and calling. After a successful interview, the ordination candidate shall be approved by the Pastor. An ordination council consisting of ministers of like faith shall be convened, chosen at the Pastor's and the ordination candidate's discretion and shall function in a capacity directed by the Pastor. The Ordination Council may ordain the Candidate, on behalf of the Church, at any regularly scheduled service or at a service called for such purpose.


ARTICLE X - MISCELLANEOUS


Section 1 - Advertisements
 
All publicity and advertisements of any and all departments or ministers of the church, whether free or paid, must first receive the written approval of the Pastor.


Section 2 - Sub-Organizations
 
All departments or ministries within the organization of the church as a whole which could be considered sub-organizations shall operate under the full authority of the pastor. All equipment, funds, and properties related to said sub-organizations shall belong exclusively and completely to the church.


ARTICLE XI - DISSOLUTION


 
Upon the dissolution of the Church, the Trustees shall, after paying or making provisions for payment of all the liabilities of the Church, dispose of all of the assets of the Church to such organizations formed and operated exclusively for religious purpose who shall at the time qualify as an exempt organization or organizations under Section 501 (c) (3) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States Internal Revenue Law), as the Trustees shall determine. Assets may be distributed to one or more organizations at the discretion of the Board of Directors, and any other supporting members of the congregation of the Church.


ARTICLE XII - AMENDMENTS


 
This Constitution may be revised or amended by a majority vote of the members present and voting at any regularly schedule church business meeting, provided that said revision or amendment has been submitted in writing to the Pastor for approval, posted for public viewing, and the vote announced from the pulpit for two (2) Sundays immediately preceding the date of the meeting. Upon failure to receive a majority, any amendment must be reconsidered and a Special Business Meeting called for the purpose of ratifying the Amendment according to the will of the Church.


ADOPTION


 
This Constitution and Bylaws was adopted by a two-third-majority vote of the membership present and voting at duly-called meeting of the church in which a quorum was present.

This Constitution and Bylaws supersede any other Constitution and Bylaws of Faith Baptist Church.
